Court of Appeal restores license of GN Savings and Loans

Major victory for GN Savings and Loans
The Court of Appeal has unanimously restored the operating license of GN Savings and Loans Company Limited, overturning an earlier High Court ruling that had upheld the revocation of the company’s license. In a significant judgment delivered by a three-member panel, the appellate court ruled that the decision to revoke the company’s license was unfair and unreasonable. As a result, the court quashed both the decision by the regulator to withdraw the license and the earlier High Court ruling that supported the action. The ruling marks a major legal victory for the shareholders of the company, who have maintained for years that the revocation was unjustified.

Court orders receiver to hand over control
Beyond restoring the license, the Court of Appeal also directed the receiver appointed over the company to immediately hand over possession, management, and control of the company’s assets and operations back to its shareholders. This means the management and ownership of the institution are expected to return to the control of the company’s stakeholders after nearly seven years under receivership. The decision could have wide-ranging implications for Ghana’s financial sector, especially for institutions affected during the banking sector reforms and clean-up exercise.

Background to the dispute
The roots of the legal battle date back to January 4, 2019, when GN Bank Limited was reclassified as a savings and loans company by the Bank of Ghana. Following the reclassification, the institution was renamed GN Savings and Loans Company Limited. However, just seven months later, on August 16, 2019, the Bank of Ghana revoked the company’s operating license as part of the country’s banking sector clean-up exercise led by then Governor Dr Ernest Addison. At the time, the central bank appointed Eric Nana Nipah as receiver to oversee the company’s operations and assets.

Legal challenge by Groupe Nduom

Soon after the revocation, Groupe Nduom, owners of GN Savings and Loans, challenged the Bank of Ghana’s decision in the High Court in Accra.
The legal challenge was spearheaded by businessman Dr Papa Kwesi Nduom, who consistently argued that the revocation was unlawful and damaging to the company, its customers, and employees. Although the High Court initially ruled in favor of the regulator, the Court of Appeal has now overturned that decision, bringing a dramatic turn to one of the most closely watched financial sector legal battles in Ghana.

Implications of the ruling
The judgment is expected to reignite discussions about Ghana’s banking sector clean-up exercise and the treatment of affected financial institutions.
Legal analysts say the ruling could influence future cases involving financial sector regulation, administrative fairness, and the powers of state regulators. For customers and shareholders of GN Savings and Loans, the decision represents renewed hope for the revival of the company and possible restoration of confidence in the institution.
